§1 · WHO WE ARE

Who these Terms are with

These Terms are between you and Factory Zero Pte. Ltd. (in formation, Singapore). The registration number and registered address will be published here once the company is incorporated. “Factory Zero”, “we” and “us” mean that company.

The ventures listed on this site, such as Kontinuum and Owlpost, are internal divisions of Factory Zero Pte. Ltd. They are not separate companies.

§2 · USING THE SITE

What the site is for

This site describes Factory Zero and the ventures it runs. You may read it free of charge, and you may send us a request through the control panel.

Some ventures are pre-launch. A description of a venture is not a promise that a product is available, priced or working in a particular way.

§3 · REQUESTS AND ACCOUNTS

What you agree to when you send a request

Before a request is sent, you tick a box to agree to these Terms and to read the Privacy Notice. A request is sent only when that box is ticked. Each request records the versions of both documents you agreed to.

Accuracy

Give accurate details. Send a request only for yourself, or for an organisation you are authorised to represent.

One person per account

Where sign-in is available, an account belongs to one person. Do not share your account or let anyone else use it.

Keeping access secure

Keep your sign-in details and any session secure. If you think someone else has access to your account, write to us at once at contact@factory0.ventures.

Sign-in is not live yet

Accounts and saved interests are being introduced. When they are, this section and the rest of these Terms apply to them, and signed-in users are asked to accept the current Terms the next time they sign in.

Suspension

We may suspend or close a request or an account that we reasonably believe is being used in breach of these Terms, for example to send spam, to attack the site or to impersonate someone. Where we can, we will tell you why.

§4 · NO OFFER AND NO ADVICE

Registering interest is not an offer

Nothing on this site is an offer, invitation or solicitation to buy, subscribe for or sell any security, share, unit or other interest in Factory Zero Pte. Ltd., in any venture, or in any fund.

The investment track of the control panel lets you register interest. Registering interest is not an offer and creates no obligation. It is not an agreement to invest, and it does not commit you or us to anything. Any investment would be made only under separate documents that we provide, and only where it is lawful for you to invest.

Nothing on this site is financial, investment, legal or tax advice. Take independent advice before you make any decision.

§5 · CLIENT AGREEMENTS

Venture as a service and client work

Venture as a service and any other client work are governed by a separate written agreement signed by both parties. If that agreement and these Terms conflict, the signed agreement prevails.

Sending a request for a venture or another service does not, by itself, create an engagement.

§6 · INTELLECTUAL PROPERTY

Who owns what on the site

The text, design, images and films on the site, the Factory Zero and FZ marks, and the names and logos of the ventures are owned by Factory Zero Pte. Ltd. or by the venture concerned, or are used with permission.

You may view the site, read it and share links to it. You may not copy, modify or reuse its content or marks beyond that, except as the law allows or as we agree in writing.

Software that we or a venture publish under an open-source licence is licensed under that licence, not under these Terms.

§7 · ACCEPTABLE USE

What you must not do

You must not:

• send requests that are false, abusive or sent by automated means;
• use the site or its forms to send spam, malware or material that infringes someone else’s rights;
• try to reach systems or data that are not public, or interfere with the site or its security;
• scrape the site in a way that places an unreasonable load on it;
• pretend to be another person or organisation.

§8 · DISCLAIMERS AND LIABILITY

How far our responsibility goes

The site is provided “as is” and “as available”. To the extent the law allows, we do not promise that it is free of errors, that it will always be available, or that every description of a venture is complete and current.

To the extent the law allows, Factory Zero Pte. Ltd. is not liable for indirect or consequential loss, or for loss of profit, revenue or data, arising from your use of the site. Our total liability for any claim arising from the site is limited to direct loss that you can prove.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law.

§9 · THIRD-PARTY LINKS

Other websites

The site links to other websites, such as GitHub and some venture websites. We do not control them and are not responsible for their content or their privacy practices.

§10 · CHANGES TO THESE TERMS

How we change them

We may update these Terms. The current version is on this page, with its version number and date. What changed is listed under “What changed” at the end.

Material changes take effect at least 14 days after we announce them on this site. For account holders, we also send an email to the address on the account at least 14 days before the change takes effect. Signed-in users are asked to accept the new Terms the next time they sign in.

A request you sent is governed by the versions of these Terms and the Privacy Notice you agreed to when you sent it.

§11 · ENDING USE AND DELETION

Stopping, and deleting your account

You may stop using the site at any time. To ask us to delete your account and the personal information we hold about you, write to contact@factory0.ventures. The Privacy Notice says what we keep and for how long.

We may end your access for a breach of these Terms. Sections 4, 6, 8, 12 and 13 continue to apply after that.

§12 · GOVERNING LAW AND COURTS

Singapore law

These Terms are governed by the laws of Singapore, and disputes about them are subject to the courts of Singapore.

This does not remove any mandatory consumer right you have in the country where you live. Nothing in these Terms affects a right that the law does not allow to be changed by contract.

§13 · TRANSLATIONS

Which version prevails

This site is published in eleven languages. The English version is the original. If a translation differs from the English version, the English version prevails.
