§1 · WHO WE ARE

Who these terms are with

These partner terms are between you and Factory Zero Pte. Ltd. (in formation, Singapore). The registration number and registered address will be published here once the company is incorporated. “Factory Zero”, “we” and “us” mean that company. They add to the Terms of use and the Privacy Notice, which also apply to you.

§2 · WHAT A PARTNER IS

What you are, and what you are not

A partner refers clients to Factory Zero and receives a commission for the referred clients’ payments. You act for yourself. You are not an employee, agent, representative or partner of Factory Zero in the legal sense, and you have no authority to bind us, sign for us, quote prices or promise results for us.

§3 · JOINING

Applying and approval

You apply through the control panel with a verified email address and accept these terms in the same step. We review each application and may approve, reject or suspend a partner. Approval is not a promise of any volume of referrals. One partner profile is allowed per account and per program.

§4 · REFERRALS AND ATTRIBUTION

Your link and code

Your referral link and code are personal to you. They must stay unguessable and you must not publish them in a way that misleads anyone about who we are.

A referral is attributed to you when a new client first arrives through your link or code and the claim is recorded. Only the first valid referral for a client counts. A referral counts only for 90 days after it is recorded. The client must be new to Factory Zero: a client who already had an offer or a request with us before your referral does not count.

Referrals to yourself, to a business you control, to someone who shares your organisation’s name, or to a client who pays from the same bank account as your payout details do not count. We may refuse or reverse any referral that we reasonably believe is made in bad faith.

§5 · COMMISSION

20% of what a referred client pays

For each payment that a referred client makes to Factory Zero for Venture as a service, for a venture product or for a stack component, you earn 20% of the net amount. The net amount is the payment without VAT and other taxes, after refunds and chargebacks.

Commission applies to payments confirmed by us in the 12 months that start with the referred client’s first confirmed payment. After those 12 months, no further commission accrues on that client. The rate in force when we confirm a payment applies to that payment. A change to your rate applies only to payments confirmed after the change and never changes commission already recorded.

We pay commission monthly, after we have confirmed the client’s payment and an owner of the program has approved the payout. Each month you can download a statement of your commission rows.

§6 · REVERSALS

Refunds and chargebacks

When a referred client’s payment is refunded or charged back, the commission on the part that went back is reversed. A reversal is a new entry in your ledger; earlier entries are never edited or deleted. Reversed commission is deducted from your future commission.

§7 · PAYOUTS AND BANK DETAILS

How you are paid

You give us your bank details in the control panel. They are stored encrypted and are shown back only as their last four characters. Changing them emails the address on your account and holds payouts for 7 days, so that a change of account is noticed. We pay by bank transfer to the account you gave us.

§8 · WHAT PARTNERS MAY NOT DO

Conduct

You must not make promises, guarantees or statements about price, delivery, performance or returns on behalf of Factory Zero or any venture. You must not send unsolicited messages in breach of the law, pose as Factory Zero, or use our name or logo in a way that suggests a relationship beyond the one in these terms. Say clearly that you are a partner and that you are paid a commission for a referral.

You must pass on only the information about Factory Zero that our public site and our written offers contain. A client’s name is shown to you only when the client has agreed to share it with you.

§9 · TAX

Your taxes

You are responsible for the taxes that apply to your commission. Where the law requires us to withhold or report tax, we will do so and tell you what we paid.

§10 · ENDING

Stopping and suspension

You may leave the program at any time. We may suspend or end your participation for a breach of these terms. Commission on payments confirmed before the end is still payable, less any reversals. Sections 5 to 8 and 12 continue to apply after the end.

§11 · CHANGES

How we change these terms and your rate

We may update these terms. A material change takes effect at least 14 days after we tell you by email. A change to your commission rate is made under §5 and applies only from its effective date.

§12 · GOVERNING LAW

Singapore law

These partner terms are governed by the laws of Singapore, and disputes about them are subject to the courts of Singapore.
